General Terms and Conditions of Use
These Terms and Conditions govern the use of the Renttix services provided by XXXXXX, and registered in xxxxx under company registration number xxxxx. Hereinafter, the provider of the service will be referred to as “Renttix.”
1. Definitions
The following terms, when capitalized, have specific meanings in this document:
1.1 Account: The Customer’s unique user account, which provides access to designated parts of the Renttix platform and allows utilization of the services.
1.2 Additional Features: Specific enhancements or extensions to the service functionalities, as outlined in a quotation. These may either be standard or custom-developed features for the Customer.
1.3 Agreement: The contract established between Renttix and the Customer, encompassing these Terms and Conditions, any quotations, and other referenced documents or proposals.
1.4 Custom Terms Proposal: Any custom written proposal (including all relevant appendices) agreed upon and signed by the parties. It may contain additional terms that supplement the Agreement.
1.5 Intellectual Property Rights: All rights to intellectual property, including but not limited to copyrights, trademarks, patents, and proprietary know-how.
1.6 Materials: Any digital or physical assets, such as logos, content, images, and documents, made available by either Renttix or the Customer within the scope of this Agreement.
1.7 Customer: Any legal entity or individual engaging in business activities who enters into an Agreement with Renttix to access and use its services.
1.8 Parties: Refers to both Renttix and the Customer; singularly refers to either one of them.
1.9 Platform: The online system and mobile application provided by Renttix through which services are delivered. Functionalities may vary depending on the Customer’s service plan and any selected Additional Features.
1.10 Quotation: An offer from Renttix detailing paid services and associated terms, including a breakdown of service plans and additional features as applicable.
1.11 Service Plan: The specific plan chosen by the Customer, dictating the scope and level of access to Renttix services.
1.12 Services: All offerings provided by Renttix under this Agreement, including access to the platform, consultancy, training, and any custom-developed features.
1.13 Terms and Conditions: This document and any attached appendices, which constitute the full terms of service.
1.14 Training: Instructional sessions, workshops, and seminars offered by Renttix for educational purposes regarding the use of the services.
1.15 Customer Data: Any data processed through the Renttix services by the Customer.
1.16 Website: The official Renttix site at www.renttix.com
2. Establishing the Agreement
2.1 An Agreement between the Customer and Renttix is considered established under any of the following circumstances:
a. Completion and confirmation of account registration on the Renttix platform; or
b. Mutual signing of a Custom Terms Proposal.
2.2 The Customer is required to maintain the confidentiality of account login details. Any actions taken under the Customer’s login are assumed to be authorized by the Customer.
2.3 Once the Agreement is established, the Customer will have access to the agreed services as per their Service Plan for the duration of the contract.
2.4 Renttix commits to providing access to specified services promptly upon establishing the Agreement and will perform all services with due diligence and expertise.
3. Document Priority
In cases where there is a conflict between the documents forming the Agreement, the following order of precedence will apply:
a. Additional written agreements;
b. Quotation(s);
c. Custom Terms Proposal (if any);
d. Any Data Processing Agreements;
e. These Terms and Conditions.
4. Service Access and Duration
4.1 The scope of access to Renttix services is defined by the Customer’s chosen Service Plan. If no Service Plan is active, the Customer’s access to services will be limited until a new plan is agreed upon.
4.2 Service Plans are set for a specified term (the “Initial Period”) and will automatically renew unless a non-renewal notice is provided by the Customer within the following notice periods:
a. Seven (7) days for plans of one month or less;
b. Thirty (30) days for plans exceeding one month.
5. Termination
5.1 The Agreement is established for an indefinite period unless otherwise specified.
5.2 The Customer may terminate the Agreement by deleting their account or submitting a written termination notice to Renttix.
5.3 Renttix may terminate the Agreement with a six (6) month notice period.
5.4 If the Customer fails to meet their obligations under the Agreement and does not remedy the breach within thirty (30) days of written notice, Renttix may suspend or terminate the Agreement.
5.5 If the Customer is declared bankrupt or applies for suspension of payments, Renttix may immediately terminate the Agreement.
6. Trials
6.1 Renttix may provide a trial version of a Service Plan, which allows the Customer to access certain features at no cost. The trial will revert to the original Service Plan or terminate upon the trial period’s expiration unless a paid Service Plan is agreed upon.
7. Additional and Custom Features
7.1 Upon request, Renttix may provide Additional Features based on a Quotation. Custom-developed features will be provided on an “as-is” basis and may require specific acceptance by the Customer before use.
8. Training Services
8.1 Training sessions are available for purchase by the Customer and may be held at either a Renttix-designated location or at a location arranged by the Customer.
8.2 Renttix reserves the right to reschedule or merge training sessions.
9. Data and Intellectual Property
9.1 Customer data remains the property of the Customer. Renttix may use anonymized and aggregated data for service improvement.
9.2 All intellectual property related to the platform and services remains vested in Renttix or its licensors. The Customer receives a non-exclusive right to use Renttix materials for the duration of the Agreement.
10. Privacy and Data Protection
10.1 In cases where personal data is processed, the parties agree to comply with applicable data protection laws as outlined in the attached Data Processing Agreement, which forms part of this Agreement.
11. Liability
11.1 Renttix’s liability is limited to the amount paid by the Customer in the two months prior to any claim. Renttix is not responsible for indirect damages, including data loss, business interruptions, or loss of profits.
12. Pricing and Payment
12.1 Pricing for services is detailed in the Quotation. Invoices are due within thirty (30) days unless otherwise agreed.
12.2 Renttix may increase fees by up to five percent annually or in line with relevant indices, with notice given at least two (2) months in advance.
13. Maintenance and Availability
13.1 Renttix will make reasonable efforts to ensure service availability and schedule maintenance outside of peak hours when possible.
14. Amendments
14.1 Renttix reserves the right to amend these Terms and Conditions. Changes will be communicated to the Customer at least thirty (30) days before taking effect.
